Distribution agreement
A distributor agreement is an agreement under which one party (distributor), within the framework of entrepreneurial activity, undertakes to purchase goods from the other party (company) within a specified (and sufficiently long) agreement and to carry out and organize its promotion and distribution in a certain territory. At the same time, the company undertakes to provide the distributor with a privileged position in this territory and not to deliver goods for sale on this territory alone or with the participation of third parties, including not to sell the goods to third parties for distribution in this territory.
Thus, the main feature of a distribution agreement is an exclusive basis, which gives the distributor the right to distribute / promote certain goods in a certain territory, with certain conditions and ensuring the exclusive right to buy goods from the company.
